License Agreement

This License Agreement is a legal contract between you, as either an individual or an Entity (as defined below), and The Village Church, 2101 Justin Road, Flower Mound, Texas (“TVC”).

Read the terms and conditions of this Agreement carefully before downloading TVC’s proprietary materials accompanied by this Agreement (the “Materials”).

The Materials are copyrighted and are licensed to you under this Agreement, not sold to you. By downloading the Materials, you acknowledge that you have read this Agreement, that you understand it, and that you accept and agree to be bound by its terms. If you are accepting this Agreement on behalf of a church, ministerial organization, educational institution, or agency, instrumentality or department of a government (an “Entity”) as its authorized legal representative, then you represent and warrant that you have the power and authority to bind such entity to these terms, and references to “you” or “your” herein refer to both you, the individual end user, and the entity on whose behalf you are accepting this Agreement.

If at any time you are not willing to be bound by the terms of this Agreement, you should click the “I do not accept” or similar button, terminate the download process, immediately cease and refrain from accessing or using the Materials and delete any copies you may have. This Agreement, along with any additional terms or policies incorporated herein by reference, represents the entire Agreement between you and TVC concerning the Materials, and this Agreement supersedes and replaces any prior representation or understanding you may have had with TVC relating to the Materials, whether orally or in writing.

Whereas, TVC is the owner of certain rights in and to its Materials; and

Whereas, you desire to license the Materials for the purpose of using them within your own church, ministry, organization or similar;

Now, therefore, for good and valuable consideration, the sufficiency of which is hereby acknowledged, TVC hereby grants to you a limited, nonexclusive, nontransferable, non-assignable, revocable license to use the Materials, and to make copies and distribute such copies of the Materials subject to the terms and conditions of this Agreement.

  1. The Term of this Agreement and its associated license is a period of one year, commencing on the date the Materials are downloaded or otherwise obtained by you.
  2. You shall not modify, edit, or change the Materials in any way.
  3. The Materials shall be licensed to you solely for your own use. You agree that you shall not make any copies of the Materials other than to distribute for ministry purposes, free of charge or at the cost of duplication only. Other than the ministerial distribution permitted by this paragraph, you shall not sell, lease, lend, give, physically convey, or otherwise transfer the Materials to any person, church, firm, corporation, or other entity under any circumstances.
  4. The name of TVC, its pastors, staff, website, programs, or trademarks shall not be used in advertising or otherwise to promote the use or other dealings in the Materials without prior written authorization of TVC.
  5. At its discretion, TVC shall have the option to reissue the Materials (hereinafter “New Materials”) in part or in whole. In such event, TVC shall indicate, in writing, the specific Materials licensed to you that shall be superseded by the New Materials. Within thirty (30) days of your receipt of the New Materials, you agree to acknowledge your receipt of such New Materials and to provide evidence to TVC that all superseded Materials have been destroyed and replaced by the New Materials.
  6. In the event that you violate this Agreement or breach any of the covenants contained herein, you, upon written notice from TVC, shall have a period of fourteen (14) days to materially cure such claim. If claim is not resolved during such period, the license hereunder may be terminated at TVC’s sole discretion. TVC shall thereafter be under no obligation to license the Materials to you for any purpose whatsoever. In addition to any other remedy available to TVC, should you be unable to cure such claim during the fourteen (14) days, TVC shall thereupon be entitled to seek an injunction to enjoin you from any use of the Materials.
  7. You shall not assign this Agreement or any of its rights or obligations hereunder without the prior written consent of TVC, and any such attempted assignment shall be void.
  8. THE MATERIALS ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF THIRD-PARTY RIGHTS. IN NO EVENT SHALL TVC, THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE MATERIALS OR THE USE OR OTHER DEALINGS IN THE MATERIALS.
  9. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, and the jurisdiction of any dispute hereunder shall be Denton County, Texas.
  10. Any claim or dispute arising from or related to this Agreement, other than a claim for injunctive relief as otherwise provided in this Agreement, shall be settled by mediation in Flower Mound, Texas, in accordance with the then-governing Rules of Procedure for Christian Conciliation of the Institute for Christian Conciliation. In the event that the Institute for Christian Conciliation ceases to exist during the course of this Agreement, then the mediation under this section shall be governed by applicable provisions of Chapter 154 of the Texas Civil Practice and Remedies Code, and other such rules as the mediator may prescribe. The fees of the mediator will be shared equally by all parties included in the dispute. The parties each agree to bear their own costs related to any mediation proceeding.
  11. If any term or provision of this Agreement is declared void or unenforceable in a particular situation, by any judicial or administrative authority, this declaration shall not affect the validity or enforceability of the remaining terms and provisions hereof or the validity or enforceability of the offending term or provision in any other situation. To the extent possible the provision will be interpreted and enforced to the greatest extent legally permissible in order to effectuate the original intent, and if no such interpretation or enforcement is legally permissible, shall be deemed severed from the Agreement.
